Legal Counsel

Geode Capital Management is seeking a Legal Counsel to assist in the provision of investment management, securities and regulatory legal advice throughout the business.  The job entails supporting new funds and business initiatives, drafting and negotiating agreements, reviewing disclosures and policies and assessing regulatory issues.  The position provides a unique opportunity to join a small legal team in a rapidly growing business, reporting directly to the General Counsel.  The Legal Counsel will also work closely with the firm’s Compliance department, supporting that group with the review of fund documentation and regulatory filings.  This attorney will also counsel other members of the senior management team, and work in a collaborative manner across the firm to achieve business goals.


  • Legal-related activities supporting the growth of the business, including documentation relating to the launch of new funds and legal assessment of new strategies
  • Drafting and negotiating  investment management agreements and documentation for new funds and investment vehicles
  • Conduct negotiations on vendor agreements, license agreements, confidentiality agreements and trading documentation, such as ISDA agreements and prime brokerage agreements
  • Advise on applicability of SEC and CFTC/NFA rules and regulations to client transactions and product offerings, including convertible bond transactions and commodities and futures investments
  • Help assess ability of firm to advise clients or offer investment products in foreign jurisdictions, including applicability of foreign rules (e.g., UCITS, AIFMD, etc.)
  • Assist Compliance with review of new registered fund prospectuses, investment guidelines, marketing material, policies and procedures and regulatory filings


  • JD degree
  • 3-6 years of experience with a particular emphasis on investment management, private funds and securities law at a leading law firm and/or in a legal department at an investment management firm (prior in-house experience is not required)
  • Knowledge of the Investment Advisors Act of 1940, the Investment Company Act of 1940, the Securities Act of 1933, the Securities Exchange Act of 1934 and the Commodity Exchange Act, as well as NFA rules
  • Experience with derivatives and/or global regulations is a plus
  • Strong willingness to learn and grow with the job
  • Excellent written and verbal communication and organizational skills required
  • Motivated self-starter with ability to operate independently, but also seek and accept direction as appropriate
  • Keen sense for spotting issues and navigating to sound resolutions
  • Ability to juggle multiple projects and prioritize appropriately in a fast-paced environment
  • Exceptional work-ethic, team player, strong interpersonal skills, sense of humor
